التصفية عملية تجميع وبيع موجودات المدين بطريقة منظمة وسريعة من أجل توزيع عائدات البيع على الدائنين وفقا للقانون المقرر وتصفية المنشأة المدينة (حيثما يكون المدين كيانا اعتباريا أو كيانا قانونيا آخر) أو إبراء ذمته (حيثما يكون المدين فردا) إما عن طريق بيع مجزأ أو عن طريق بيع معظم موجودات المدين أو كلها في شكل وحدات إنتاجية عاملة أو كمنشأة عاملة (انظر مبادئ البنك الدولي ومبادئه التوجيهية، 2001). ومن المصطلحات الأخرى المستعملة للإشارة إلى هذا النوع من الإجراءات winding up و bankruptcy و faillite و quiebra و Konkursverfahren.
